Terms & Conditions
These general terms and conditions apply to all services, products, and agreements where Onivu acts as the contractor. The terms are intended to establish clear agreements between parties and to provide legal clarity regarding mutual rights and obligations.
1. Definitions
In these general terms and conditions, the following definitions apply:
Onivu: with office at Rijksweg 406, 3650 Dilsen, Belgium (VAT BE1007488916) and post address at Haverterstraat 30, 6118 CD Nieuwstadt, Netherlands.
Client: any natural or legal person who enters into an agreement with Onivu.
Services: all products and services offered by Onivu, including but not limited to web development, hosting, support, maintenance, domain name registration, digital tools, and SaaS solutions.
Agreement: any written or digitally confirmed arrangement between Onivu and the Client.
Written: communication via email, letter, or digitally signed documents that provide evidence.
Business Days: Monday to Friday, excluding official Belgian holidays.
2. Applicability and Validity
2.1 These terms and conditions apply to every offer and every agreement between Onivu and a Client.
2.2 Deviations are only valid if agreed upon in writing.
2.3 The Client's purchasing or other terms are explicitly rejected.
2.4 If any provision is nullified or declared invalid, the remaining provisions remain fully effective.
3. Offers and Formation of the Agreement
3.1 All offers from Onivu are non-binding unless explicitly stated otherwise in writing.
3.2 Onivu reserves the right to withdraw or modify offers before acceptance.
3.3 An agreement is established upon the Client's explicit acceptance of an offer or upon the commencement of the work by Onivu.
3.4 Offers are valid for 30 days unless stated otherwise.
3.5 All mentioned prices are exclusive of VAT and any other levies.
4. Prices, Payment, and Invoicing
4.1 Upon acceptance of an offer, Onivu will invoice 50% of the agreed amount as an advance. Payment must be made before any work starts.
4.2 The remaining amount will be invoiced upon delivery or according to an agreed payment schedule.
4.3 Onivu reserves the right to suspend ongoing work if the advance or subsequent invoices are not paid.
4.4 Any work not explicitly included in the offer will be considered additional work and invoiced separately upon approval.
4.5 The standard payment term is 14 days from the invoice date.
5. Delivery and Execution of Services
5.1 Onivu will perform the agreement to the best of its knowledge, ability, and according to professional standards.
5.2 Stated delivery or completion dates are indicative and are not strict deadlines.
5.3 The Client is obliged to provide all necessary cooperation, materials, and information in a timely and correct manner.
5.4 Delays caused by insufficient cooperation or provision of information are entirely at the Client's risk.
6. Liability and Indemnity
6.1 Onivu is only liable for direct damage resulting from intent or gross negligence.
6.2 Onivu is not liable for indirect damages such as consequential damage, loss of profit, reputational damage, or loss of data.
6.3 Liability is limited to the amount the Client paid to Onivu in the three months preceding the damaging event.
6.4 If insurance coverage applies, liability is limited to the amount paid out by the insurer.
6.5 The Client indemnifies Onivu against third-party claims arising from the use of the delivered services or products.
7. Intellectual Property
7.1 All intellectual property rights to delivered designs, code, modules, texts, software, images, or other creations remain the property of Onivu unless explicitly agreed otherwise in writing.
7.2 The Client only receives a non-exclusive, non-transferable right of use unless otherwise agreed in writing.
7.3 Without written consent from Onivu, it is prohibited to copy, resell, or otherwise exploit the delivered work.
8. Confidentiality and Privacy
8.1 Both parties are obliged to keep confidential information obtained during the cooperation confidential.
8.2 This obligation remains in effect for 5 years after the end of the agreement.
8.3 Onivu processes personal data in accordance with the General Data Protection Regulation (GDPR).
8.4 The Client is responsible for compliance with privacy laws on their own systems or platforms.
9. Force Majeure
9.1 Force majeure includes any circumstance beyond the reasonable control of Onivu that prevents fulfillment of obligations, such as network failures, server outages, power failures, internet issues, government measures, natural disasters, pandemics, strikes, or cyberattacks (e.g., DDoS).
9.2 During a force majeure situation, Onivu's obligations are suspended. If fulfillment becomes permanently impossible, either party may terminate the agreement without compensation.
10. Duration and Termination
10.1 The duration of the agreement is specified in the offer or written agreement.
10.2 Both parties may terminate the agreement in writing with at least one month's notice unless otherwise agreed.
10.3 Onivu may terminate the agreement immediately in the event of:
- persistent non-payment;
- bankruptcy or suspension of payment by the Client;
- abuse of services or violation of legal provisions.
10.4 In case of early termination, outstanding invoices remain fully payable.
11. Applicable Law and Competent Court
11.1 Belgian law applies to all agreements and disputes.
11.2 Disputes will preferably be settled amicably. If this is not possible, the courts of the district of Antwerp shall have exclusive jurisdiction, unless mandatory law dictates otherwise.
Modules
Module A: Web Development
Applies to projects involving design, development, or integration of websites, webshops, or web applications.
Correction rounds are limited to the number specified in the offer. Additional corrections will be invoiced as extra work.
Onivu guarantees compatibility with modern browsers unless otherwise agreed.
Module B: Hosting and Domains
Onivu acts as an intermediary for domain registrations. Terms of external registrars apply.
Onivu does not guarantee uptime unless explicitly stated.
If no maintenance contract is concluded, the Client is responsible for backups.
Module C: Maintenance & Support
Maintenance packages include updates, patches, security monitoring, and limited support.
Response to non-critical issues within 2 business days, critical issues within 1 business day.
Support outside business hours or urgent interventions are invoiced at a higher rate.
Module D: SaaS and Tools
SaaS services are subject to separate subscription terms.
Functionality and access may change due to updates or system changes.
Abuse or overload of the platform may lead to suspension or termination of access.
